Terms of Service
Last updated June 5, 2026. These Terms of Service (“Terms”) govern your access to and use of the Provider Pair platform at providerpair.com (the “Service”), operated by Provider Pair, Inc. (“Provider Pair,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
01Eligibility and accounts
You must be at least 18 years old to use the Service. You agree to provide accurate information, to keep your account credentials secure, and you are responsible for all activity under your account. If you use the Service on behalf of a practice or organization, you represent that you are authorized to bind that entity to these Terms.
02The Service
Provider Pair is a hiring platform that connects nurse practitioners and physician assistants with clinics and practices. Posting roles and reviewing license-matched candidate shortlists is free. Messaging candidates directly requires a Premium subscription, and a flat placement fee is owed when a practice hires a candidate it made contact with through the Service.
The complete fee mechanics — the flat placement fee, the attribution window, the replacement guarantee, and Premium pricing — are described in our Placement Agreement, which is incorporated into these Terms by reference.
03Fees and payment
Posting and matching are free. Premium subscriptions and placement invoices are billed through our third-party payment processor; you authorize us and that processor to charge your selected payment method. Subscriptions renew for successive periods until canceled, and fees are exclusive of applicable taxes. Refunds and the replacement guarantee are governed by the Placement Agreement.
04Your content
You retain ownership of the content you submit — including profiles, résumés, job postings, video introductions, and messages. You grant Provider Pair a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content as necessary to operate and provide the Service, such as showing a candidate’s profile to clinics. You represent that you have the rights to submit your content and that it does not violate any law or third-party right.
05Acceptable use
You agree not to:
- use the Service for any unlawful or fraudulent purpose;
- misrepresent your identity, licensure, or professional credentials;
- scrape, harvest, or bulk-export data, or access the Service through automated means except as we expressly permit;
- make hiring decisions in violation of equal-employment-opportunity or anti-discrimination laws;
- harass other users, upload malware, or attempt to circumvent fees or security controls; or
- use the Service to deliver clinical care.
06No employment relationship; verification
Provider Pair is a venue that helps clinics and clinicians find one another. We are not an employer, employment agency, or party to any employment relationship between users, and we do not guarantee any hire, placement, role, response, or outcome. You are solely responsible for your own hiring and employment decisions, including license verification, background checks, credentialing, and compliance with all employment, licensing, and equal-opportunity laws. Although we surface NPI and license data to assist matching, you must independently verify the credentials of any candidate or employer.
07Third-party services
The Service relies on third-party services — including authentication, payment processing, analytics, and Google services. Your use of those services is governed by the applicable third party’s terms and policies, and we are not responsible for their acts or omissions.
08Intellectual property
The Service, including its software, design, text, and trademarks, is owned by Provider Pair and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service. We reserve all rights not expressly granted.
09Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free or that it will produce any particular hiring outcome. Nothing on the Service is legal, medical, or professional advice.
10Limitation of liability
To the maximum extent permitted by law, Provider Pair will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (USD 100).
11Indemnification
You agree to indemnify and hold harmless Provider Pair and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or of any law or third-party right.
12Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or to protect the Service or its users. You may stop using the Service at any time. Provisions that by their nature should survive termination — including fees owed, intellectual-property rights, disclaimers, limitations of liability, and indemnification — will survive.
13Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.
14Changes to these Terms
We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above, and your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
